1. Introduction and Acceptance of Terms

Welcome to Stage Connections ("Stage Connections," "we," "us," or "our").

Stage Connections is an online networking and professional connection platform designed to connect musicians, bands, promoters, booking agents, venues, sound engineers, lighting technicians, tour managers, DJs, and other professionals within the music and entertainment industry.

By registering an account, purchasing a subscription, accessing, or using our website and services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.

If you do not agree to these Terms and Conditions, you must not use Stage Connections.

2. Purpose of the Platform

Stage Connections provides tools and services that allow members to:

Create professional profiles and connect with other industry professionals.
Discover musicians, bands, venues, promoters, and service providers.
Communicate directly with other members.
Search for professional opportunities and potential collaborations.
Create, exchange, submit, accept, and manage booking offers.
Create, exchange, and manage contracts and agreements.
Create and share technical riders, hospitality riders, and other event-related documentation.
Participate in community discussions and networking opportunities.
Access additional features according to their selected membership.

Stage Connections is a networking and facilitation platform only.

Unless expressly stated in a separate written agreement signed by an authorized representative of Stage Connections, we do not act as a booking agent, talent agent, manager, employer, event organizer, financial guarantor, legal representative, or contractual party to agreements entered into by our users.

3. User Accounts and Responsibilities

Users must provide accurate and current information when creating an account.

By creating an account, you agree to:

Provide truthful and accurate profile information.
Maintain the confidentiality of your login credentials.
Use the platform only for lawful purposes.
Respect other users and communicate professionally.
Avoid posting fraudulent or misleading opportunities.
Not impersonate another musician, company, venue, promoter, or individual.
Obtain any necessary authority before representing a band, artist, venue, or business.

Users are responsible for all activity conducted through their accounts.

Stage Connections reserves the right to suspend or terminate accounts that violate these Terms.

4. Contracts, Booking Offers, and Riders — Important Legal Disclaimer

THIS SECTION IS A FUNDAMENTAL CONDITION OF USING STAGE CONNECTIONS.

Stage Connections may provide tools that allow users to create, edit, exchange, upload, download, electronically accept, or otherwise manage offers, contracts, booking agreements, technical riders, hospitality riders, performance agreements, and other documents.

These tools are provided solely for convenience and to facilitate communication and transactions between independent parties.

4.1 Stage Connections Is Not a Party to User Agreements

Stage Connections is not a party to, and does not assume obligations under, any offer, contract, rider, agreement, or arrangement negotiated or entered into between users through the platform.

Any agreement made between two or more parties is solely between those parties.

This includes, without limitation, agreements between:

Bands and promoters.
Artists and venues.
Musicians and other musicians.
Booking agents and performers.
Promoters and production companies.
Venues and sound or lighting technicians.
Event organizers and service providers.
Any other individuals or businesses using the platform.

4.2 Sole Responsibility of the Agreeing Parties

The parties entering into an agreement are solely responsible for negotiating, understanding, accepting, financing, fulfilling, enforcing, and resolving their contractual obligations.

These responsibilities include, without limitation:

Artist performance fees and guarantees.
Deposits, advances, and final payments.
Travel, accommodations, transportation, and expenses.
Technical and hospitality rider requirements.
Equipment rentals and production costs.
Stage, lighting, sound, and staffing requirements.
Ticket sales arrangements and financial settlements.
Venue rental fees and related expenses.
Event cancellations, postponements, and rescheduling.
Contract modifications, breaches, and non-performance.
Refunds, compensation, and financial losses.
Insurance, licensing, permits, taxes, and regulatory compliance.
Any other financial or performance obligations included in an agreement.

Stage Connections has no obligation to pay, reimburse, compensate, provide services, fulfill rider requirements, or otherwise perform any obligation undertaken by the parties to an agreement.

4.3 No Responsibility for Non-Payment or Breach of Contract

To the fullest extent permitted by applicable law, Stage Connections is not responsible or liable for losses, damages, or disputes resulting from:

A promoter failing to pay a band or artist.
A band or artist failing to appear or perform.
A venue cancelling a booking.
A booking agent failing to fulfill an agreement.
A party failing to provide equipment or services.
Failure to fulfill a technical or hospitality rider.
Unpaid deposits, performance fees, or invoices.
Misrepresentations or fraudulent conduct by users.
Contract breaches or disagreements.
Cancellation of concerts, performances, tours, or events.
Any other action, omission, or failure by a party to an agreement.

Each party is responsible for pursuing its own contractual rights and remedies directly against the other party or parties involved.

4.4 Contract and Rider Templates

Any contract templates, booking offer forms, technical rider forms, hospitality rider forms, or other documents provided by Stage Connections are general-purpose tools only.

Stage Connections does not guarantee that any template or document is legally sufficient, enforceable, complete, accurate, or appropriate for a particular transaction or jurisdiction.

Users should obtain independent legal advice where appropriate before entering into binding agreements.

4.5 Electronic Acceptance and Signatures

Where the platform provides electronic acceptance or signature features, users are responsible for reviewing the complete agreement and confirming that they have authority to accept or sign on behalf of the relevant individual or organization.

The legal validity and enforceability of any electronically accepted agreement are determined by applicable law and the circumstances of the agreement.

Stage Connections does not guarantee the enforceability of any electronic agreement.

4.6 No Financial Guarantee or Dispute Resolution Obligation

Stage Connections does not guarantee that any individual or business will fulfill its contractual or financial obligations.

Stage Connections is not required to act as a mediator, arbitrator, debt collector, collection agency, legal representative, or financial guarantor in disputes between users.

We may voluntarily review complaints, restrict accounts, or cooperate with lawful investigations without accepting responsibility for the underlying agreement.

4.7 Express Acknowledgment

By using any offer, contract, booking, or rider feature on Stage Connections, you expressly acknowledge and agree that:

ALL OFFERS, CONTRACTS, BOOKING AGREEMENTS, TECHNICAL RIDERS, HOSPITALITY RIDERS, FINANCIAL ARRANGEMENTS, PAYMENTS, AND ASSOCIATED OBLIGATIONS ARE SOLELY THE RESPONSIBILITY OF THE PARTIES WHO ENTER INTO THOSE AGREEMENTS.

STAGE CONNECTIONS IS NOT A PARTY TO SUCH AGREEMENTS AND DOES NOT ASSUME RESPONSIBILITY FOR THEIR PERFORMANCE, PAYMENT, ENFORCEMENT, OR BREACH.

Nothing in this section excludes any liability of Stage Connections that cannot lawfully be excluded.

5. Independent Relationships Between Users

All users operate independently of Stage Connections.

Using our platform does not create an employment, agency, partnership, joint venture, fiduciary, or other legal relationship between Stage Connections and any user, except for the relationship expressly established by these Terms.

Stage Connections does not guarantee the professionalism, reliability, credentials, qualifications, or financial stability of any member.

Users are responsible for independently verifying the identity, credentials, references, insurance, licensing, and reputation of anyone with whom they choose to do business.

6. Memberships and Subscriptions

Stage Connections may provide Free, Pro, Venue, or other membership plans.

Certain features may require an active paid subscription.

By purchasing a paid membership, users agree to the pricing, billing frequency, and subscription terms disclosed at checkout.

Unless otherwise disclosed at purchase:

Subscriptions renew automatically for the selected billing period until cancelled.
Users authorize recurring charges to their selected payment method.
Subscription prices may change with advance notice as required by law.
Users may cancel their subscription through the available account or billing controls.
Cancellation stops future renewals, but access to paid features may continue until the end of the current paid billing period.
Refunds, cancellation rights, and other payment remedies remain subject to applicable consumer protection laws.

Stage Connections reserves the right to modify membership features and pricing, subject to applicable laws and required notices.

7. Payments Between Users

Unless Stage Connections expressly offers a separate payment processing service governed by additional terms, all payments resulting from bookings, offers, contracts, performances, services, and other agreements are arranged directly between the involved parties.

Stage Connections is not responsible for collecting, holding, transferring, distributing, guaranteeing, or recovering these payments.

Users are responsible for determining acceptable payment methods, due dates, refund arrangements, and other financial requirements.

Any disputes concerning payment must be resolved by the parties involved.

Subscription fees paid directly to Stage Connections are separate from agreements and payments between users.

8. Event Cancellations, Injuries, and Property Damage

Stage Connections does not organize, supervise, control, or operate events merely because they are discussed, advertised, negotiated, or booked through the platform.

To the fullest extent permitted by applicable law, Stage Connections is not responsible for losses or damages arising from user-organized events, including:

Event cancellations or postponements.
Poor attendance or ticket sales.
Equipment damage, theft, or loss.
Personal injury or accidents.
Venue conditions or safety failures.
Unfulfilled production or technical requirements.
Travel interruptions.
Actions or omissions of performers, promoters, venues, contractors, attendees, or other third parties.

Event organizers, venues, performers, and service providers are responsible for their own applicable safety obligations, insurance, permits, and legal compliance.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

9. User-Generated Content

Users may upload or publish photographs, promotional materials, event posters, band logos, videos, documents, music-related information, and other content.

Users retain ownership of their original content.

By uploading content, users grant Stage Connections a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute that content as reasonably necessary to operate and promote the platform and its relevant features, subject to applicable privacy laws and user settings.

Users represent that they have the necessary rights and permissions to upload and share their content.

Stage Connections may remove content that violates these Terms or applicable law.

10. Prohibited Activities

Users must not:

Create fraudulent bookings or offers.
Impersonate an artist, promoter, venue, or business.
Misrepresent professional qualifications.
Harass, threaten, discriminate against, or abuse other members.
Upload malicious software or attempt unauthorized access.
Use the platform for unlawful transactions.
Publish content that infringes another party's intellectual property rights.
Send unsolicited bulk messages or conduct scams.
Manipulate reviews, listings, or user profiles.
Use the platform to knowingly facilitate unlawful activity.

Violations may result in content removal, account suspension, or termination.

11. No Guarantee of Bookings or Business Opportunities

Stage Connections does not guarantee that users will obtain:

Paid performances.
Booking offers.
Employment or contracts.
Band members.
Clients or customers.
Venue bookings.
Successful collaborations.
Any minimum level of earnings or business opportunities.

Results depend on the individual user and other parties using the platform.

12. Platform Availability and Technical Limitations

Stage Connections aims to maintain a reliable and accessible service but does not guarantee uninterrupted operation.

Features may occasionally be unavailable because of maintenance, upgrades, hosting issues, technical problems, or circumstances beyond our reasonable control.

Users are encouraged to retain their own copies of important contracts, riders, offers, communications, and booking confirmations.

Stage Connections does not guarantee permanent storage or retrieval of documents, except as required by applicable law or an express service commitment.

13. Privacy and Personal Information

Stage Connections collects and processes personal information to provide user accounts, profiles, messaging, subscriptions, and other services.

Our collection, use, disclosure, retention, and protection of personal information are governed by our Privacy Policy and applicable privacy laws.

Users who exchange personal information through the platform must use that information lawfully and responsibly.

Users must not misuse, sell, or distribute another member's private information without appropriate authorization.

14. Intellectual Property

The Stage Connections name, branding, website design, software, and original platform materials are owned by Stage Connections or its licensors.

Users may not copy, reproduce, distribute, reverse engineer, or commercially exploit protected platform materials without authorization, except where permitted by law.

User-owned content remains subject to the ownership and licence provisions in Section 9.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Stage Connections and its owners, operators, employees, and representatives will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, business opportunities, goodwill, or data arising from the use of the platform or dealings between users.

This includes losses arising from contracts, offers, riders, bookings, payment disputes, cancellations, and third-party conduct.

Stage Connections does not assume liability for another user's independent contractual obligations.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or any other liability that cannot lawfully be excluded or limited.

16. Indemnification

To the extent permitted by applicable law, users agree to indemnify and hold harmless Stage Connections and its owners, employees, and representatives against third-party claims, damages, liabilities, and reasonable legal expenses arising from:

The user's breach of these Terms.
The user's unlawful conduct.
The user's infringement of third-party rights.
Contracts, offers, riders, and other commitments entered into by the user.
The user's failure to fulfill financial or contractual obligations.
Content uploaded or distributed by the user.

This obligation does not apply to the extent a claim is caused by Stage Connections' own unlawful conduct or other liability that cannot lawfully be excluded.

17. Disputes Between Members

Users are encouraged to resolve disagreements directly and professionally with the other parties involved.

Stage Connections may provide reporting features for suspected fraud, harassment, or violations of platform rules.

However, submitting a complaint does not make Stage Connections responsible for resolving a contractual dispute or recovering money.

Stage Connections may investigate reports and take appropriate account-related action at its discretion, subject to applicable law.

Users remain responsible for pursuing any legal remedies directly against the parties involved.

18. Account Suspension and Termination

Stage Connections may suspend, restrict, or terminate accounts for violations of these Terms, fraudulent activity, unlawful conduct, security risks, or misuse of the platform.

Users may discontinue using the service and request account closure.

Ending a Stage Connections account does not cancel, invalidate, or release any agreement independently entered into between users.

The parties remain responsible for their contractual obligations according to the applicable agreement and law.

Subscription cancellation and refund rights remain governed by Section 6 and applicable law.

19. Changes to These Terms

Stage Connections may update these Terms and Conditions to reflect changes to our services, business practices, or legal requirements.

Material changes will be communicated through the website, account notifications, email, or other appropriate methods where required by law.

Continued use after revised Terms become effective may constitute acceptance where legally permitted.

20. Governing Law

These Terms and Conditions are governed by the applicable laws of the Province of Ontario and the federal laws of Canada, without limiting mandatory legal protections that apply to users in other jurisdictions.

Any dispute directly between a user and Stage Connections will be subject to the jurisdiction of the competent courts of Ontario, Canada, unless applicable law provides otherwise.

Disputes arising solely between platform users are governed by their own agreements and the laws applicable to those arrangements.

21. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or severed to the extent required by law.

The remaining provisions will continue in effect.

22. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly applicable to specific Stage Connections services, constitute the agreement between users and Stage Connections concerning use of the platform.

These Terms do not replace or modify separate contracts entered into between platform users.

FINAL ACKNOWLEDGMENT — CONTRACTS, OFFERS AND RIDERS

By creating an account or using Stage Connections, you acknowledge and agree that Stage Connections is an independent networking and document-facilitation platform.

Any offer, booking, contract, technical rider, hospitality rider, payment arrangement, or other agreement entered into between users is strictly between the parties involved.

The agreeing parties are solely responsible for all payments, financial obligations, performance requirements, agreed services, cancellations, damages, contractual commitments, and any other actions or responsibilities arising from their agreement.

Stage Connections is not responsible for enforcing, funding, guaranteeing, or fulfilling such agreements, and assumes no contractual obligations on behalf of either party.

All such arrangements are entered into at the users' own discretion and risk, subject to applicable law.

Nothing in this acknowledgment limits any non-excludable legal rights or liabilities.
